These Terms of Service (“Terms”) govern your use of the website operated by GB Partners Agency (“GB Partners,” “we,” “us”) and, where applicable, the provision of our advertising and media-buying services. By using this website or engaging our services, you agree to these Terms.

1. Services

GB Partners provides digital advertising and media-buying services, including campaign planning, setup, placement on third-party advertising platforms, optimization, and reporting. The specific scope, deliverables, and price for any engagement are defined in a written quote, estimate, or agreement between GB Partners and the client.

2. Quotes and Estimates

Quotes and estimates describe the cost to plan, place, and manage advertising for a defined campaign period. Estimated performance ranges are projections based on historical data and market conditions; actual delivery may vary depending on competition, timing, audience behavior, and platform factors. Quotes are valid for the period stated and are not binding until accepted in writing by both parties.

3. Client Responsibilities

The client is responsible for:

       Providing accurate information, brand guidelines, and any creative assets or audience data needed for the campaign;

       Ensuring it holds all rights and permissions necessary to use any data, lists, or materials it provides to us, and that such use complies with applicable law and the relevant platforms’ policies;

       Reviewing and approving campaign materials before launch; and

       Complying with all laws and platform terms applicable to its advertising.

4. Third-Party Platforms

Campaigns are placed on third-party advertising platforms that have their own terms, policies, and approval processes. GB Partners does not control those platforms and is not responsible for their decisions, including ad disapprovals, account actions, pricing changes, delivery, or measurement discrepancies. Reasonable differences between platform reporting and third-party measurement are normal and expected.

5. Payment

Fees, media budgets, and payment terms are as set out in the applicable quote or agreement. Unless otherwise stated, media budgets and management fees are due as specified before campaign launch. Late or non-payment may result in pausing or stopping campaigns.

6. No Guarantee of Results

Advertising performance depends on many factors outside our control. GB Partners performs services using reasonable professional skill and care but does not guarantee any specific level of impressions, clicks, conversions, leads, sales, or other results.

7. Intellectual Property

Website content, including text, graphics, logos, and design, is owned by or licensed to GB Partners and may not be copied or used without permission. Ownership of campaign deliverables and client-provided materials is governed by the applicable client agreement.

8. Limitation of Liability

To the maximum extent permitted by law, GB Partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the website or services. Our total liability for any claim is limited to the amount paid to us for the services giving rise to the claim.

9. Governing Law

These Terms are governed by the laws of the Oregon, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Oregon.

10. Changes to These Terms

We may update these Terms from time to time. The “Effective date” above reflects the latest version. Continued use of the website or services after changes take effect constitutes acceptance.
